A successful UAE joint venture is negotiated around five questions: what each party really contributes and how it is valued, who controls which decisions, how the venture is funded, how deadlock is broken, and how either side can leave, all set in a structure, contractual or corporate, onshore, free zone, DIFC or ADGM, that fits the business and the exit.
Why UAE joint ventures fail
Most joint venture disputes come down to three things: the parties had different expectations about what each would contribute, nobody decided who controls what once the business started, and there was no workable way out. All three are negotiation failures, and all three can be prevented at the term sheet stage.
Start with the business case
Changes to the Commercial Companies Law in 2021 allowed full foreign ownership of mainland companies for many activities, so a UAE partner is often no longer needed simply to hold a licence. Where a partner is needed, or wanted, it should be for what it brings: market access, customers, government relationships, assets, regulatory standing or capital. Be precise about that, because it drives everything else.
The five questions to negotiate
1. Contributions and valuation
Cash is easy to value. Relationships, licences, land, brand, technology and know-how are not. Agree what each party contributes, when, and how non-cash contributions are valued, before negotiating percentages. If a contribution is an introduction or relationship, tie the economics to the results it delivers.
2. Control
Who appoints the board and the general manager, which decisions need both parties, and who runs day-to-day operations. A 51:49 split can still give the minority a veto over the decisions that matter through reserved matters. Map the decisions the venture will actually face and allocate each one.
3. Funding
Whether further funding is required, in what proportion, and what happens if one party does not fund: dilution, a shareholder loan on penal terms, or a right for the other party to buy out the defaulter.
4. Deadlock
Escalation to principals, mediation, expert determination for technical disputes, and a final mechanism such as a buy-sell clause or a put and call option. Without one, a 50:50 venture can freeze.
5. Exit
Lock-in periods, transfer restrictions, rights of first refusal, drag and tag rights, change of control triggers, and what happens on termination of the venture to assets, staff, customers and intellectual property.
Choosing the structure
A joint venture can be purely contractual, or it can use a company. A mainland LLC suits ventures that need to trade onshore and with government, but its governance is shaped by the Commercial Companies Law and the registered memorandum. A free zone company offers more flexibility for activities the free zone permits. A DIFC or ADGM holding company with bespoke articles and English-language courts is often the cleanest home for the shareholder arrangements, with an operating subsidiary below it. Negotiating with a family group or government-related entity
Expect decisions to sit with senior principals, timetables to stretch, and standard documents on the partner's side. The relationship is part of the asset you are buying, so tone matters as much as terms. Our Emirati founding partners advise on how to position the approach, who to involve and when to escalate, as part of our negotiation practice.
Frequently asked questions
Do I still need a UAE partner to set up a business in Dubai?
For many activities, no. Since 2021 the Commercial Companies Law has allowed full foreign ownership of mainland companies in a wide range of activities, and free zone companies can be wholly foreign-owned. Some strategic and regulated activities still have ownership requirements, so the position should be checked for the specific activity. Neo Legal confirms the ownership position before a joint venture is structured.
What is the best structure for a joint venture in the UAE?
It depends on where the venture trades, who the partners are and how they may exit. Common structures are a mainland LLC, a free zone company, a DIFC or ADGM holding company with an operating subsidiary, or a purely contractual joint venture.
How do you value a partner's non-cash contribution?
Agree a valuation method in the term sheet: independent valuation for assets, an agreed value for intellectual property or licences, and for relationships or introductions, economics tied to the revenue they actually generate rather than equity issued up front.
