You do not need to visit the BVI, Cayman, Panama or the Marshall Islands to incorporate there. Formation is carried out by a licensed local agent on documents you sign and certify where you live, and the company can be formed in days and administered from anywhere. What geography still affects is banking, and where the business is actually run.
Founders often assume an offshore company means a trip to Road Town or Panama City. It does not. Offshore company law is built around licensed intermediaries precisely so that the people behind a company can be anywhere in the world. For token projects, whose founders are usually spread across several countries, that is a large part of the appeal.
How remote incorporation works
In each of the four jurisdictions a company is formed by a licensed local intermediary filing with the companies registry: a registered agent in the BVI and the Marshall Islands, a registered office provider in the Cayman Islands, and a resident agent in Panama, who must be a Panamanian lawyer or law firm. The intermediary is the regulated party that must know who you are, which is why the process starts with KYC rather than paperwork.
When Neo Legal runs an incorporation the sequence is the same whichever jurisdiction is chosen:
- A scoping call to settle the jurisdiction and the vehicle on what the company will actually do. For a token issuer that means the token model, the investor profile and where the team sits.
- KYC for every director, shareholder and beneficial owner: a certified passport copy, a recent proof of address and, depending on the agent, a CV or source of funds statement.
- Constitutional documents drafted for the business. A token issuer's memorandum and articles should carry issuance authorities and treasury controls from day one rather than have them retrofitted later.
- Filing by the local agent and issue of the certificate of incorporation.
- Delivery of the company documents electronically, with certified or apostilled originals couriered where a bank or counterparty needs them.
Most documents in that sequence can be signed electronically. The exceptions usually come from third parties rather than the registry: a bank that wants wet-ink account forms, or a counterparty that wants apostilled corporate documents.
Certification without travel
The one formality that still needs a person in a room is the certification of KYC copies, and that room is wherever you live. A lawyer, notary or chartered accountant in your own city certifies that each copy is a true copy of the original and that the photograph is a likeness of you. Where a registered agent accepts electronic verification, certification can happen on a video call instead. Corporate shareholders provide certified copies of their own constitutional documents and registers, and some agents require these to be apostilled.
How long it takes
- A BVI Business Company can be formed within a few business days of complete KYC, with three to five business days to prepare the KYC and documents.
- A Cayman exempted company takes three to seven business days to form, plus one to three weeks for KYC, structuring and drafting. A foundation company takes longer because its constitution does more work.
- A Panama corporation or foundation takes one to two weeks, plus three to five business days of KYC preparation.
- A Marshall Islands corporation takes one to two weeks, with a DAO LLC registration adding a further one to two weeks.
Bank and payment accounts take longer than the company itself, typically four to eight weeks and up to ten with crypto-friendly banks, which is why we open that workstream in parallel with formation rather than after it.
Where geography still matters
Remote incorporation is real, but three things are not solved by it.
Banking
Banks run their own onboarding, separate from the registered agent. Many electronic money institutions and crypto-friendly banks onboard entirely remotely; some traditional banks want a video interview with the directors, and a smaller number still ask for a meeting. A clean structure chart, a coherent business description and consistent KYC across every provider shorten this step more than anything else.
Economic substance
Offshore jurisdictions require companies carrying on certain relevant activities, such as holding intellectual property, acting as a group headquarters or carrying on financing business, to demonstrate adequate substance there. Issuing a token is not itself a listed relevant activity in the BVI, but an issuer that also holds the protocol's intellectual property can be carrying one on, so the substance classification is settled at the design stage, not after the first annual filing.
Where the business is actually run
This is the point most often missed. A company incorporated remotely is still managed from wherever its directors and team make decisions. Under the UAE Corporate Tax Law a foreign company that is effectively managed and controlled from the UAE can be treated as UAE resident, and VARA's perimeter follows activity conducted in or from Dubai rather than the place of incorporation. An offshore issuer run entirely from a Dubai apartment is a Dubai business in a foreign wrapper. The answer is architecture, not travel: a UAE operating company for the team, real issuer governance and a written perimeter analysis. Our guide to running a BVI issuer with a Dubai team sets this out.
What this means for a token project
For a token issuer the company is the easy part. The value lies in what is built on it: a constitution designed for token issuance, a classification analysis written before the whitepaper is drafted, sale documents that match the token's real economics, and the listing opinion an exchange will ask for. Neo Legal handles the incorporation and that legal work as one engagement, on a fixed fee, without anyone needing to travel. Frequently asked questions
Do I need to visit the BVI to incorporate a BVI company?
No. A BVI Business Company is incorporated by a licensed BVI registered agent filing with the Registry of Corporate Affairs. Directors and shareholders can live anywhere and never visit: you provide certified KYC and sign the formation documents remotely.
Can a foreigner incorporate a company in Panama without travelling?
Yes. Panamanian law requires every corporation and private interest foundation to have a resident agent, who must be a Panamanian lawyer or law firm, and that agent handles the formation. Directors, foundation council members and beneficial owners can be of any nationality and need not travel to Panama.
What documents do I need for remote offshore incorporation?
For each director, shareholder and beneficial owner: a certified passport copy, a recent proof of residential address and, depending on the agent, a CV or source of funds statement. Corporate shareholders also provide certified constitutional documents and registers, sometimes apostilled. For a token project, a short description of the token model helps the agent and later the bank.
How long does remote incorporation take?
A BVI company can be formed within a few business days of complete KYC; a Cayman exempted company takes three to seven business days; Panama and the Marshall Islands typically take one to two weeks. Bank accounts take longer, usually four to eight weeks.
Will I need to travel to open a bank account for an offshore company?
Usually not. Many electronic money institutions and crypto-friendly banks onboard entirely remotely, and most traditional banks are satisfied with a video interview. A minority still require a meeting, which is one factor in choosing where to bank.
Does incorporating offshore remotely mean my business is not in the UAE?
No. Where a company is incorporated and where it is run are different questions. A foreign company effectively managed and controlled from the UAE can be UAE tax resident, and VARA's perimeter follows activity in or from Dubai. The structure needs a UAE operating company and real offshore governance, not just a registered agent.
