Incorporate your token company without leaving your desk.
Neo Legal incorporates token issuing companies and foundations in the British Virgin Islands, the Cayman Islands, Panama and the Marshall Islands for founders anywhere in the world. You provide certified KYC from home and sign electronically; we choose the vehicle, draft a constitution built for token issuance, and coordinate the licensed local agent through to the certificate of incorporation.
Incorporation is the start of a launch, not the end of our involvement: the same team then classifies the token, drafts the sale documents and prepares the listing opinion. See our token issuance practice. 中文版
You can incorporate a token issuer in the BVI, the Cayman Islands, Panama or the Marshall Islands without travelling. Formation is carried out by a licensed local agent on certified KYC and electronically signed documents, and a BVI Business Company can be formed within days. Neo Legal selects the jurisdiction and vehicle, drafts a constitution with token issuance authorities and treasury controls, coordinates formation and banking, and then takes the project through classification, sale documents and listing.
Which vehicle, which jurisdiction
The right issuer depends on the token model, the investor base and where the team sits. These are the four options and what each typically involves.
| Jurisdiction | Vehicle | Formation | Indicative setup / annual |
|---|---|---|---|
| BVI | BVI Business Company as issuer | Days from complete KYC | USD 1,500 to 2,500 / USD 1,000 to 1,800 |
| Cayman Islands | Exempted company as issuer, or foundation company as governance and treasury wrapper | 3 to 7 business days plus drafting | USD 3,500 to 6,000 / USD 2,500 to 5,000 |
| Panama | Corporation (S.A.) as issuer, private interest foundation as holder | 1 to 2 weeks | USD 1,800 to 3,500 / USD 1,200 to 2,500 |
| Marshall Islands | Non-resident domestic corporation as issuer, or DAO LLC | 1 to 2 weeks, plus 1 to 2 for a DAO LLC | USD 2,500 to 4,500 / USD 1,500 to 3,000 |
Costs are indicative all-in formation and annual running costs, before legal work on the token. Our comparison guide sets out the selection framework in full.
How it works
- A scoping call to settle the jurisdiction and vehicle on the token model, the investors and where the team works.
- KYC for each director, shareholder and beneficial owner, certified by a lawyer, notary or accountant where you live.
- A constitution drafted for token issuance: issuance and minting authorities, treasury controls and the governance the project actually needs.
- Filing by the licensed local agent and issue of the certificate of incorporation.
- Company documents delivered electronically, with banking opened in parallel so the company is usable as soon as it exists.
What you will need
- A certified passport copy for each director, shareholder and beneficial owner.
- A proof of residential address issued within the last three months.
- A short professional background and, where the agent asks for one, a source of funds statement.
- For corporate shareholders, certified constitutional documents and registers, sometimes apostilled.
- A one-page description of the project and the token model.
What remote does not change
Two things still depend on geography. Banking runs its own onboarding, and some banks want a video interview with the directors. And where your team actually runs the company decides tax residence and licensing: a foreign company effectively managed and controlled from the UAE can be UAE tax resident, and VARA's perimeter follows activity in or from Dubai. We build the structure for that from the start; see incorporating offshore without travelling and the Dubai team question.
After incorporation
Once the issuer exists, the launch work begins: token classification, the licensing analysis, sale documents and the exchange listing opinion. Neo Legal handles all of it as one engagement: see our token issuance practice.
