A complex Chinese shareholding is held in the UAE through a deliberately designed chain, usually a BVI or Cayman company or a DIFC or ADGM holding company above the operating entity, with each PRC shareholder's SAFE and ODI position cleared layer by layer, so that the bank, the tax authorities and the PRC regulators all see the same transparent structure.
The three questions to answer first
Before choosing a vehicle, settle three things. Who are the natural persons who ultimately own the business, and in what proportions? Which of them are PRC residents, and are any of them restricted from holding foreign assets by their employer or position? And how will money reach the structure: corporate capital from a Chinese company, personal funds from individuals, or profits generated outside China? Every later choice follows from those answers, and so do the Chinese approvals.
The PRC rules that apply to each layer
Individuals: SAFE Circular 37
A PRC resident individual who establishes or controls an offshore special purpose vehicle to hold investments must complete foreign exchange registration with SAFE, through a bank, before contributing domestic or offshore assets to it, and must update the registration when the structure changes. The registration is what later allows dividends and exit proceeds to return to China lawfully. Founders who skip it discover the problem when they try to bring money home, or when a UAE bank asks how a PRC resident came to own a BVI company. We do not design around Circular 37; we make sure it is done, with PRC counsel.
Companies: ODI
A Chinese company that funds any layer of the structure, whether the UAE company directly or a holding company above it, goes through the ODI procedure: NDRC, MOFCOM and the foreign exchange leg through authorised banks under SAFE rules, within the State Council framework in force since 1 July 2026. Multi-layer structures need the filing to describe the whole chain, not just the first hop. See China ODI and UAE investment.
Tax residency and reporting
PRC tax residents are taxed on worldwide income and the Common Reporting Standard reports UAE and offshore accounts back to China. A holding structure is not a way to avoid that; it is a way to hold the assets in an orderly, documented and bankable form. See CRS and Chinese tax residency in the UAE.
The vehicles and when each fits
BVI or Cayman company above the UAE company
The standard top layer for groups with several shareholders, investors or future fundraising. Flexible share classes, shareholder agreements under a familiar law, fast transfers, and a structure every UAE bank and every Chinese investor recognises. The trade-off is substance: a bare offshore company with no office or decisions taken there carries no treaty benefits and gets harder questions from banks each year. Our incorporation pages on BVI companies and Cayman companies cover the mechanics.
DIFC or ADGM holding company
A holding company in one of the UAE's two common law financial centres sits inside the UAE's treaty network, can hold the operating companies across the Gulf and Africa, benefits from the Corporate Tax participation exemption on qualifying shareholdings, and has courts, a registrar and a corporate services ecosystem that investors trust. For a Chinese group that wants its regional holding next to its bankers, DIFC is where the large Chinese banks are. ADGM's special purpose vehicle regime is lean and widely used for single-asset holdings. See DIFC and ADGM compared.
Hong Kong intermediate
Many Chinese groups already route investment through Hong Kong. It remains useful where the group banks in Hong Kong, plans a Hong Kong listing or has existing ODI approvals naming the Hong Kong entity. It adds a second legalisation chain for every UAE filing, does not avoid Circular 37 or ODI, and is not needed for a Chinese founder starting fresh in the UAE.
Foundations and family holdings
Where the shareholders are a family rather than business partners, a DIFC or ADGM foundation can hold the top-layer company and settle succession, control and the separation of family members' interests. See how Chinese families establish a UAE family office.
Patterns we see and how we handle them
- Five founders, unequal shares, one cannot appear. A BVI top company with a shareholders' agreement, Circular 37 registration for each PRC resident, and no nominees: a founder who cannot lawfully hold the shares should not be hidden behind someone who can. The bank will find it and PRC rules treat it as his anyway.
- Listed PRC parent through Hong Kong. ODI for the Hong Kong entity's investment into the UAE, both document chains run in parallel, UAE company as a wholly owned subsidiary with the group's governance mirrored in its constitutional documents.
- Existing BVI company with a tangled history. A clean-up first: registers reconstructed, lapsed Circular 37 registrations updated, then the UAE company incorporated under it. Banks will read the BVI company's history before they read the UAE licence.
- Chinese investor into a UAE business with local partners. A DIFC or ADGM holding company with a shareholders' agreement under common law, reserved matters, and an exit mechanism that works for both the PRC investor's ODI position and the local partner.
- Founder relocating with family wealth. A DIFC or ADGM foundation holding the top company, Golden Visas for the family, and the Chinese side of the wealth transfer documented with PRC counsel. See moving wealth from China to the UAE.
What the bank and the tax authority will test
UAE banks will trace the chain to the natural persons, ask for legalised documents at every layer and expect the Chinese approvals to match the structure. The Federal Tax Authority will look for substance in any UAE holding company claiming the participation exemption or free zone benefits: directors who meet here, decisions recorded here, an office and accounts. PRC authorities will look for the registrations. The structure that passes all three is the same structure: transparent, documented and real. Our hub on UAE company formation for Chinese clients sets out how we build it.
Frequently asked questions
How should several Chinese shareholders hold a UAE company?
Usually through a top-layer holding company, a BVI or Cayman company or a DIFC or ADGM holding company, with a shareholders' agreement under a familiar law, and with each PRC resident shareholder's SAFE Circular 37 registration completed before they contribute. Nominee arrangements to hide a shareholder fail at the bank and under PRC rules.
What is SAFE Circular 37 and does it apply to a UAE company?
Circular 37 requires PRC resident individuals who establish or control an offshore special purpose vehicle for outbound investment to register with SAFE through a bank before contributing assets, and to update the registration on changes. It applies where a PRC individual holds the UAE company through an offshore vehicle; it is what allows profits and exit proceeds to return to China lawfully.
Should a Chinese group hold its UAE company through Hong Kong?
Only if the group already banks, lists or holds ODI approvals through Hong Kong. A Hong Kong intermediate adds a second document legalisation chain and does not remove PRC approval requirements. A Chinese founder starting fresh usually does not need it.
BVI company or ADGM holding company above a UAE business?
A BVI company is the familiar top layer for multi-shareholder groups and future fundraising. A DIFC or ADGM holding company adds a UAE common law platform with courts, substance, treaty access and the Corporate Tax participation exemption. Many groups use both: ADGM or DIFC as the regional holding and BVI above it for investors.
Can a holding structure reduce Chinese tax?
It is not designed to. PRC tax residents are taxed on worldwide income and CRS reports UAE and offshore accounts to China. The structure's purpose is orderly, documented, bankable ownership and lawful repatriation. Tax outcomes follow residency and substance, which Neo Legal plans with advisers on both sides.
What will a UAE bank ask about a complex Chinese ownership chain?
Legalised documents for every layer up to the natural persons, evidence that PRC approvals match the chain, the source of wealth behind each major shareholder, and substance in any UAE holding company. A chain that can be drawn on one page and evidenced layer by layer opens accounts; one that cannot does not.
